Terms of Service

1. Acceptance of Terms

By accessing or using the Blue Magma application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

Blue Magma, Inc. ("Blue Magma", "we", "us", or "our") operates and provides access to the Service. The Service described in these Terms is currently offered free of charge under the Blue Magma free tier.

2. Description of Service

The Service provides an AI-powered platform that helps generate and organize content such as compliance documentation, policies, reports, and chat-based outputs. The free tier includes limited access to these tools and related features.

We reserve the right to modify, limit, or discontinue any part of the Service (including the free tier) at any time, with or without notice.

3. Eligibility

You may use the Service only if all of the following are true:

• You are at least 13 years old; and
• You are legally able to enter into a binding agreement.

If you are using the Service on behalf of a company or other organization, you represent and warrant that you are authorized to bind that organization to these Terms, and "you" as used in these Terms will refer to both you as an individual and to that organization.

4. Accounts

To access certain features of the Service, you may need to create an account using either:

• An email address and password; or
• A supported third-party OAuth or single sign-on provider.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if we believe you have violated these Terms or used the Service in a way that could harm us, the Service, or other users.

5. Acceptable Use

You agree that you will not use the Service to:

• Engage in any illegal, harmful, or fraudulent activities;
• Attempt to bypass or interfere with security controls or access data belonging to other users;
• Reverse-engineer, scrape, or otherwise misuse the Service or its underlying systems;
• Generate disallowed, abusive, or harmful AI content; or
• Store or process regulated data (including PHI, PCI, or other highly sensitive information) using the Service, unless we have expressly agreed in writing that you may do so.

Violation of this section may result in immediate suspension or termination of your access to the Service.

6. AI-Generated Content

The Service uses artificial intelligence models to generate text and other outputs based on prompts, inputs, or other data you provide.

You acknowledge and agree that AI-generated outputs may be incorrect, incomplete, or misleading, and may not reflect current laws, regulations, or best practices. The outputs are provided for informational purposes only and do not constitute legal, compliance, or professional advice.

You are solely responsible for reviewing, validating, and deciding how to use any AI-generated content. We make no representations, warranties, or guarantees regarding the accuracy, completeness, or audit readiness of any outputs produced by the Service.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and share information. Please review the Privacy Policy carefully. By using the Service, you consent to the collection and use of information as described there.

8. Third-Party Services

The Service uses third-party providers, including OpenAI, to process certain AI-related requests. By using the Service, you authorize us to transmit your prompts, messages, and other necessary data to such providers for the purpose of operating and improving the Service.

These third parties may store and process your data in accordance with their own terms and policies. We encourage you to review those terms if you have questions about how your data is handled by third-party providers.

9. Intellectual Property

All software, user interfaces, documentation, APIs, branding, trademarks, logos, and other materials that make up the Service are owned by Blue Magma, Inc. or our licensors and are protected by intellectual property laws.

You retain ownership of the content you input into the Service and any outputs you choose to export or use. However, you grant us a limited, worldwide, non-exclusive license to host, process, and use that content as reasonably necessary to provide, maintain, secure, and improve the Service.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe that you have violated these Terms, pose a security risk, or misuse the Service.

You may stop using the Service at any time and may request that we delete your account in accordance with our data-handling and retention practices.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that the Service or any AI-generated content will be accurate, reliable, free from errors, compliant with any particular framework, or suitable for use in connection with audits, certifications, or regulatory reviews.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BLUE MAGMA, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED FIFTY U.S. DOLLARS (US$50). YOU AGREE THAT THIS LIMITATION IS REASONABLE GIVEN THAT THE SERVICE IS PROVIDED UNDER A FREE TIER.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice as appropriate. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. The appropriate venue for any disputes arising out of or relating to these Terms or the Service will be the state or federal courts located in that state, and you consent to the personal jurisdiction of those courts.
